Terms of Use

These Terms of Use govern your use of the keel.asia website and of software and integrations operated by Keel ("Keel", "we", "us"). By using the website, or by authorising a connection between Keel's software and your accounting systems, you agree to these terms.

Using this website

The website is provided for general information about our services. You may not use it unlawfully, attempt to disrupt it, or misuse the enquiry form. Content on the site belongs to Keel and may not be copied or reused without permission.

Software and accounting integrations

Where a client engages Keel, we operate private software that connects to the client's own business systems, such as QuickBooks Online, to deliver the contracted services. The following terms apply to that software:

• Authorised access. A connection is established only after an administrator of the client's account authorises it through the provider's secure sign-in (OAuth 2.0). Access is limited to the scopes granted and can be revoked by that administrator at any time.
• Permitted use. The software is used solely to deliver the services in the client's engagement. Where the engagement is read-only, it does not create, change or delete records in the connected system.
• Licence. The software, systems, models and tools are Keel's property and are made available only for the duration of the engagement. They are not licensed for redistribution, and the right to use them ends when the engagement ends.
• No credentials shared. Keel does not receive or store account passwords. Access relies on secure tokens held on Keel's controlled systems.

Data

How we handle personal and business data is described in our Privacy Policy. In respect of data in a client's connected systems, Keel acts as a data intermediary processing that data on the client's instructions; the client remains the organisation responsible for it.

No warranty

The website and software are provided "as is". To the extent permitted by law, Keel does not give implied warranties. Our software depends on third-party services (such as the QuickBooks Online API) and their availability, which we do not control.

Limitation of liability

To the extent permitted by law, Keel's liability arising from use of the website or software is governed by the terms of the applicable client engagement agreement. Nothing in these terms excludes any liability that cannot be excluded under Singapore law.

Governing law

These terms are governed by the laws of Singapore.

Changes

We may update these terms from time to time. The latest version will always be posted on this page with an updated date at the top.
